1. Introduction and Acceptance

Welcome to the websites and platforms operated by iFeedback Consulting (Pty) LTD ("iFeedback," "we," "us," "our"), a company registered in South Africa. These Terms and Conditions ("Terms") govern your access to and use of:

  • ifeedback.co.za (the "Marketing Site"): Our website detailing our research, consulting, data analysis, and related services.
  • ifeedback.app (the "Platform"): Our platform hosting the iFeedback Citizen Scientist community, survey tools, polls (such as 'Green Insights'), and related interactive features.

These Terms apply collectively to both the Marketing Site and the Platform (together, the "Websites").

By accessing or using either of the Websites, you agree to be bound by these Terms and our unified Privacy Policy If you do not agree to these Terms, please do not use the Websites. If you are accessing or using the Websites on behalf of a legal entity, you confirm you have the authority to bind that entity to these Terms.

2. Definitions

  • Marketing Site: Refers to the website ifeedback.co.za.
  • Platform: Refers to the website ifeedback.app and its associated services and features for research participation.
  • Websites: Refers collectively to the Marketing Site and the Platform.
  • User / You: Refers to any individual accessing or using either of the Websites, including visitors, potential clients, and members of the Citizen Scientist community.
  • Citizen Scientist Community: Refers to the opt-in database and program hosted on the Platform for individuals participating in research surveys and polls managed by iFeedback.
  • Content: Refers to all text, graphics, images, data, software, logos, trademarks, and other material available on the Websites.
  • Services: Refers generally to:
    • The functionalities offered via the Platform (e.g., community participation, survey completion, polls).
    • The research, consulting, data analysis, project management, and other professional services described on the Marketing Site. (Note: The provision of professional services to clients is typically governed by separate service agreements).
    • The underlying technology supporting research deployment managed by iFeedback.

3. Use of the Websites

  • Permitted Use: You may use the Websites for their intended purposes:
    • Marketing Site (ifeedback.co.za): Learning about our company, services, expertise, and contacting us for business inquiries.
    • Platform (ifeedback.app): Learning about our research platform, joining and participating in the Citizen Scientist community, taking part in surveys and polls, and accessing published insights where available.
  • Prohibited Conduct: You agree not to use the Websites to:
    • Engage in any unlawful activity or violate any applicable South African laws (including, but not limited to, the Protection of Personal Information Act (POPIA), the Consumer Protection Act (CPA), and the Electronic Communications and Transactions (ECT) Act).
    • Provide false or misleading information, particularly during registration or participation on the Platform.
    • Attempt to interfere with the Websites' security or functionality (e.g., inject malicious code, conduct denial-of-service attacks, unauthorised scraping or data harvesting).
    • Scrape, harvest, or collect information about other users without consent or lawful basis.
    • Impersonate any person or entity.
    • Transmit spam, unsolicited communications, or infringing material.
    • Reproduce, distribute, modify, or create derivative works from any Content without our prior written consent, except as expressly permitted by these Terms or the functionalities of the Websites.

4. Privacy Policy

Our Privacy Policy explains how we collect, use, protect, and process your personal information in compliance with POPIA. By using our Websites, you acknowledge and agree to the processing of your information as described in the Privacy Policy.

5. User Accounts and Registration (Primarily for ifeedback.app)

  • To participate fully in the Citizen Scientist community and potentially other features on the Platform (ifeedback.app), registration may be required. The Marketing Site (ifeedback.co.za) generally does not require user registration.
  • You agree to provide accurate and complete information during registration on the Platform and to keep it updated.
  • You are responsible for maintaining the confidentiality of your account login information (if applicable) and for all activities that occur under your account.
  • Notify us immediately of any unauthorized use of your account.
  • You shall not assign your account to any third party.

6. Citizen Scientist Community Participation (ifeedback.app)

  • Participation in the Citizen Scientist community via the Platform is entirely voluntary.
  • You agree to provide honest and thoughtful responses to surveys and polls to the best of your ability.
  • Your participation, the handling of your personal information, and your responses are governed by our Privacy Policy, which details anonymity procedures, data usage, security safeguards, and your rights under POPIA.
  • Unless explicitly stated otherwise in a specific survey invitation and associated consent form (which, for academic studies, is subject to University Ethics Committee clearance), individual responses are treated as anonymous for research reporting purposes.
  • Compensation or rewards for participation are not guaranteed. If applicable, they will be clearly specified in individual survey/poll invitations or related communications (See FAQ or contact us for details).

7. Description of Services (ifeedback.co.za)

The Marketing Site (ifeedback.co.za) provides information about the professional services offered by iFeedback Consulting (Pty) Ltd., which include, but are not limited to:

  • Qualitative and quantitative research design and execution
  • Academic research support and data collection
  • Employee engagement surveys and consulting
  • Values-driven business consulting
  • Strategic business consulting
  • Data analysis, interpretation, and reporting
  • Research Project Management

We may, at our sole discretion, modify or discontinue any Service described on the Marketing Site at any time. The actual provision of these professional services to clients is subject to separate contractual agreements.

8. Intellectual Property

  • Our Content: The Websites and their original Content (excluding user-provided data), features, and functionality are and will remain the exclusive property of iFeedback Consulting (Pty) Ltd. and its licensors, protected by copyright, trademark, and other intellectual property laws in South Africa and internationally. Our logos, brand names ("iFeedback"), and related graphics are our trademarks.
  • Published Insights: Aggregated and anonymized data or insights published by us on the Websites or related sites (e.g., ConservationMag.org) derived from Platform activities are our intellectual property.
  • User Data: Ownership, use, and protection of data provided by you (personal information, survey responses on the Platform) are governed by our Privacy Policy and specific consent agreements obtained during participation.
  • License to Use Websites: You are granted a limited, non-transferable, non-exclusive, revocable license to access and use the Websites strictly in accordance with these Terms.
  • User Submissions: Should you submit any content, feedback, or materials to us (outside of formal survey participation governed by the Privacy Policy and consent), you grant iFeedback Consulting (Pty) Ltd. a non-exclusive, royalty-free, perpetual, and worldwide license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content in connection with our business operations (e.g., using testimonials, improving services). We are not obligated to use or publish any submitted content and may remove it at our discretion. You warrant that you own or control all rights to any content you submit and that it does not violate these Terms or infringe any third-party rights.  

9. Disclaimers

  • The Websites and all Content and Services information are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.
  • We do not guarantee that the Websites will be uninterrupted, secure, error-free, or free of viruses or other harmful components.
  • We do not warrant the accuracy, completeness, timeliness, or reliability of any Content available on or through the Websites, especially content linked to third-party sites or information related to services which may be updated.
  • Regarding the Platform (ifeedback.app): We disclaim liability for the specific content or conduct of third-party surveys facilitated through the platform (e.g., academic research). While we require ethical clearance confirmation for academic studies hosted, participant discretion regarding participation is always advised.

10. Limitation of Liability

To the fullest extent permitted by applicable South African law, iFeedback Consulting (Pty) Ltd., its directors, employees, partners, agents, suppliers, or affiliates, shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from: (i) your access to or use of or inability to access or use the Websites; (ii) any conduct or content of any third party on the Websites (including other users or third-party surveys); (iii) any Content obtained from the Websites; (iv) unauthorised access, use, or alteration of your transmissions or content, whether based on warranty, contract, delict (including negligence), or any other legal theory, even if we have been informed of the possibility of such damage.

11. Indemnification

You agree to defend, indemnify, and hold harmless iFeedback Consulting (Pty) Ltd. and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of: a) your use and access of the Websites (either ifeedback.app or ifeedback.co.za), or b) your breach of these Terms.

12. Third-Party Links

The Websites may contain links to third-party websites or services that are not owned or controlled by iFeedback. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that iFeedback shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services. We advise you to read the terms and conditions and privacy policies of any third-party websites or services that you visit.  

13. Termination and Access Restriction

We may terminate or suspend your access to the Websites (in whole or in part, including your account on the Platform) immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if you breach these Terms. Upon termination, your right to use the affected Website(s) or features will immediately cease. Provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.  

14. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Republic of South Africa, without regard to its conflict of law provisions.  

15. Dispute Resolution

Any dispute arising out of or relating to these Terms or your use of the Websites shall first be attempted to be resolved through amicable, good-faith negotiation between the parties. If negotiation fails within a reasonable period (e.g., 30 days), the dispute shall, unless otherwise agreed, be subject to mediation administered in Cape Town, South Africa. Should mediation fail, the dispute shall fall under the exclusive jurisdiction of the competent courts located in Cape Town, South Africa.

16. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material (as determined in our sole discretion), we will endeavour to provide reasonable notice (e.g., by posting a notification on the Websites or via email to registered users) prior to the new terms taking effect. By continuing to access or use our Websites after any revisions become effective, you agree to be bound by the revised terms. We recommend you check this page periodically for updates.

17. Miscellaneous

  • Entire Agreement: These Terms, together with our Privacy Policy and any specific consent forms you agree to (e.g., for surveys), constitute the entire agreement between you and iFeedback Consulting (Pty) Ltd. regarding your use of the Websites.
  • Relationship: No joint venture, partnership, employment, or agency relationship exists between you and iFeedback as a result of these Terms or your use of the Websites.
  • Force Majeure: We shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargos, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation facilities, fuel, energy, labor, or materials.  
  • Severability: If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.  
  • Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

18. Complaints

If you have any complaints regarding our Websites or our compliance with these Terms or relevant legislation like POPIA, please contact us first using the details below. We aim to investigate and respond to complaints within 30 days. If you are not satisfied with our response, particularly concerning data protection issues, you have the right to lodge a complaint with the Information Regulator of South Africa.
